What is Sheep Dog Java?

         Sheep Dog Java is a small-batch, premium coffee company with a focus on highlighting those who can never be thanked enough – our first responders. We provide multiple roasts, each focusing on a specific branch, for a well-rounded variety suitable for any and all coffee drinkers.

We also support the American Valor Foundation, a non-profit organization committed to supporting our military Veterans, First Responders and their families through programs of fund raising efforts and direct support to individuals.

 

How should I store Sheep Dog Java Coffee? How long will it last?

         Its best to store our ground coffee in a dark, airtight container until you are ready to brew it. This will keep your coffee fresh for about four (4) weeks. If you leave the beans whole and store them in an airtight container, your coffee should remain fresh for over a month.

         The biggest coffee killer – humidity! So keep that in mind when you are storing your bags or your airtight containers.

 

What shipping carriers do you use?

         We currently ship our coffee through the United States Postal Service.

 

Can I track my order?

         When we ship your order, an email will be sent to the email address that you provided when placing your order with information regarding your order and the shipping. If you even have trouble viewing that information or have questions about that information, feel free to contact us at sheepdogjava@gmail.com.

 

Where do you ship to?

         Right now we are limiting our orders to the continental United States as well as Hawaii and Alaska. We hope to expand our shipping destinations soon.

 

Can I change my order after its been placed?

         While we are a small operation, we strive to get your order out the same day it is placed if possible, depending on the time of your order. Because of that, any changes that need to be made to your order need to be sent within one (1) hour of placing your order, including order cancellations. The best way to let us know about any changes is to email us IMMEDIATELY at sheepdogjava@gmail.com and include your order number in the subject line and body of your email so that we know right where to look when we receive your email. We cannot guarantee changes or cancellations that are made more than one (1) hour after you have placed your order. We will always do our best to ensure that you get exactly what you need, but cannot guarantee that we will be able to fix the order before it ships out.

 

Does Sheep Dog Java offer a subscription service?

         Not yet. We are hoping that this is something we can implement in the future though!

 

How do I return an item or receive a refund?

         Apparel/gear must be returned within thirty (30) days of the date of purchase. You can either request a refund or a replacement item. If you request a replacement item, we ask that you send the old item back to us. Coffee cannot be returned at this time.

If there is a physical damage to the package or you feel it is unsafe to consume, bags of coffee can be returned for equal exchange of the same blend (or a similar blend of equal or lesser value) provided you send us photo documentation of the physical damage/whatever leads you to believe that the coffee is unsafe to consume.

What payment options do you accept?

         We accept Visa, Mastercard, American Express, and Discover cards.

 

Is it safe for me to order online?

         We put a lot of thought and research into our payment processing service and trust that they are using the safest protocols on the internet. If you have any security questions or concerns, please review our payment processor’s website – www.Wix.com

 

Can I place an order over the phone?

         At this time, we are not accepting phone orders. All orders must be placed online through our website.

Shipping Policy

Shipping

We can ship to virtually any address in the world. However, there are restrictions on some products, and certain items cannot be shipped to international destinations.

Sheep Dog Java, LLC strives to ship your order, depending on the time of same, the same day that it is received, if possible. However, please keep in mind that we are a small, premium coffee company, currently working out of our homes. We will ship you your order as fast as we can because we want you to be able to enjoy our awesome coffee as soon as possible! But your patience is and will always be appreciated.


We pride ourselves on delivering the freshest coffee possible to your doorstep. Once your order is received, we strive to start the fulfillment process immediately. Because of this, any changes to your order must be received within an hour of receiving the order confirmation email. We cannot and do not guarantee changes to your order that are received more than an hour after you have placed your order.

Once your order has shipped out, the delivery process you selected with your shipping options will begin.

When you place an order, we will estimate shipping and delivery dates for you based on the availability of your items and the shipping options you choose. Depending on the shipping provider you choose, shipping date estimates may or may not appear on the shipping quotes page. Please note that we cannot control the delivery service and cannot be held responsible for delays in shipping once it has left our facility. Again, we will provide you with estimates on shipping and delivery, but cannot control what happens with the carrier once it leaves our hands.

SECTION 1 - WHAT DO WE DO WITH YOUR INFORMATION?

In order to provide services, we must collect some personal information related to an identified or identifiable nature person. When you sign up for updates, purchase something from our store, whether it be apparel or coffee products, as part of the buying and selling process, we collect the personal information you voluntarily give us such as your name, address, phone number, email address, payment information (for users with paid services), information you include in your communications with us and with other users on our platform, etc.

When you browse our store, we may also college usage information, such as “click-stream” activity, scrolls, non-identifying personal information regarding your device, operating system, internet browser, screen resolution, language, and keyboard settings, internet service provider, referring/exit pages, date/time stamps, etc.

We may also receive personal information about you from third-party sources such as security providers or fraud detections/prevention providers, social media, advertising and marketing partners, etc.

We may use your personal information that we collect for the following reasons:

  1. To provide and operate our services and platforms;

  2. To further develop and improve our services based on your preferences, experiences, and difficulties;

  3. To provide our users with ongoing customer assistance and technical support;

  4. To contact you with general or personalized service-related notices and promotional messages;

  5. To help us to update, expand and analyze our records to identify new customers;

  6. To facilitate, sponsor, and offer contests, events, and/or promotions, determine whether users are eligible, monitor performance, contact winners, and grant prizes/benefits;

  7. To analyze our performance and marketing activities;

  9. To enhance our own security and fraud detection/prevention capabilities; and

Sheep Dog Java is giving you notice of the information that we collect and what it may be used for so that your consent to encountering them is meaningfully informed.

Additionally, Sheep Dog Java may offer you the option to send a communication to a friend or other contact. If so, Sheep Dog Java relies on you to only send to people that have given you permission to do so. The recipient’s personal information you provide (e.g., name, e-mail address) will be used to facilitate the communication, but not used by Sheep Dog Java for any other marketing purpose unless Sheep Dog Java obtains consent from that person. Your contact information and message may be included in the communication.

EEOC / Affirmative Action Reporting. In conjunction with laws and regulations enforced by the Equal Employment Opportunity Commission (“EEOC”), the Office of Federal Contract Compliance Programs (“OFCCP”) and similar state and local regulatory agencies, we may ask you to provide us with self-identifying information (such as veteran status, gender and ethnicity). Providing such self-identifying information is voluntary, but if you do provide us with such information, we may submit that information, to the EEOC, the OFCCP and similar state and local regulatory agencies or otherwise use or disclose it for business-related purposes, including, without limitation, responding to information requests, fulfilling regulatory reporting requirements and defending against employment related complaints.

How do you get my consent?

When you voluntarily provide us with personal information to complete a transaction, verify your credit card, place an order, contact our customer service, arrange for a delivery or return a purchase, you then give consent to our collecting that information and using it for that specific reason only.

If we ask for your personal information for a secondary reason, like marketing, we will either ask you directly for your expressed consent or provide you with an opportunity to say no.

How do I withdraw my consent?

We may disclose your personal information if we are required by law to do so or if you violate our Terms of Service.

Your activities on our website may, by their nature, result in the sharing of your Sheep Dog Java-collected personal information (as well as your other personal information and your non-personal information) with third parties and by engaging in these activities you consent to that and further sharing and disclosure to third parties. Such third-party data receipt and collection is subject to the privacy and business practices of that third party, not Sheep Dog Java.

Sheep Dog Java may also share any information about you (including, without limitation, Sheep Dog Java-Collected personal information) for any purposes not inconsistent with this Privacy Policy, or our written statements at the point of collection, and otherwise not prohibited by applicable law, including, without limitation:

  • Sheep Dog Java’s agents, vendors, consultants, and other service providers (collectively “Service Providers”) may receive, or be given access to, your information, including, without limitation, personal information, demographic information, and usage information, in connection with their work on Sheep Dog Java’s behalf, provided however, Sheep Dog Java does not authorize its Service Providers to use Sheep Dog Java-Collected personal information provided by Sheep Dog Java to the Service Providers to send you direct marketing messages other than related to Sheep Dog Java absent your consent.

  • To comply with the law, law enforcement or other legal process, and, where permitted, in response to a government request; and

  • If Sheep Dog Java believes your actions are inconsistent with Sheep Dog Java’s terms of use, user agreements, applicable terms or policies, or to protect the rights, property, life, health, security and safety of Sheep Dog Java, the Service or its users, or any third party.

 

In addition, Sheep Dog Java Coffee Company may share your Sheep Dog Java-Collected personal information (as well as your other personal information and your non-personal information), in connection with or during negotiations of any proposed or actual financing of our business, or merger, purchase, sale, joint venture, or any other type of acquisition or business combination of all or any portion of Sheep Dog Java assets, or transfer of all or a portion of Sheep Dog Java’s business to another company, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding (“Corporate Transactions”).

 

SECTION 4 - WIX

Our store is hosted on Wix.com, Ltd. (hereinafter “Wix”). They provide us with the online e-commerce platform that allows us to sell our products and services to you. Your data is stored through Wix’s data storage, databases, and the general Wix application pursuant to Wix’s policies.

Payment:

If you choose a direct payment gateway to complete your purchase, then Wix may store your credit card data. Wix regularly maintains a Payment Card Industry Data Security Standard (PCI-DSS) certification. Wix also regularly monitors their systems for possible vulnerabilities and attacks, and regularly seeks new ways and Third Party Services for further enhancing the security of their services and protection of their Visitor’s and Users’ privacy.

All direct payment gateways adhere to the standards set by PCI-DSS as managed by the PCI Security Standards Council, which is a joint effort of brands like Visa, MasterCard, American Express and Discover.

PCI-DSS requirements help ensure the secure handling of credit card information by our store and its service providers.

SECTION 5 - THIRD-PARTY SERVICES

In general, the third-party providers used by us will collect, use and disclose your information to the extent necessary to allow them to perform the services they provide to us.

However, certain third-party service providers, such as payment gateways and other payment transaction processors, have their own privacy policies in respect to the information we are required to provide to them for your purchase-related transactions.

In particular, remember that certain providers may be located in or have facilities that are located in a different jurisdiction than either you or us. So if you elect to proceed with a transaction that involves the services of a third-party service provider, then your information may become subject to the laws of the jurisdiction(s) in which that service provider or its facilities are located.

As an example, if you are located in Canada and your transaction is processed by a payment gateway located in the United States, then your personal information used in completing that transaction may be subject to disclosure under United States legislation, including the Patriot Act.

Once you leave our store’s website or are redirected to a third-party website or application, you are no longer governed by this Privacy Policy or our website’s Terms of Service.

When you click on links on our store, they may direct you away from our site. These third-party services that you are redirected to may use their own cookies, web beacons, and other tracking technology to independently collect information about you and may solicit personal information, identifying or non-identifying, from you. Sheep Dog Java is not responsible for the privacy practices of other sites and encourage you to read their privacy statements.

Social Features

            Certain functionalities on our website may permit interactions that you initiate between Sheep Dog Java and certain third-party services, such as third-party social networks (“Social Features”). Examples of Social Features include: enabling you to send content such as contacts and photos between Sheep Dog Java and a third-party service; “liking” or “sharing” Sheep Dog Java’s content; logging in to Sheep Dog Java’s services using your third-party service account (e.g., using Facebook Connect to sign-in); and to otherwise connect Sheep Dog Java to a third-party service (e.g., to pull or push information to or from Sheep Dog Java). Credit card information is encrypted during transfer over networks consistent with credit card industry security obligations. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. An order made via the Service is an offer by you to us, which is not accepted by us until we fulfill the order, and we may reject any orders.  We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. Availability of product and services is subject to our acceptance of an order and may be limited as required by applicable law.

We have made every effort to display as accurately as possible our products and services, including the colors and images of our products that appear at the store, and information and pricing about them.  However, as permitted by applicable law, we do not guarantee accuracy.  Further, subject to applicable law, we do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors on the Service will be corrected.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. We may provide you with access to third-party content, tools and service over which may have no control or input (e.g., social media plug-ins such as “like” buttons) (“Third-party Services). You acknowledge and agree that we provide access to such Third-party Service “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement, and that the use of these Third-party Services is subject to the third party operator’s own terms of use, privacy policy and data and other practices, which we advise you to review before using the Third-party Service. If you send or post content or other submissions  on or via the Service (e.g., contest entries, user posting areas, community forums, comments sections, using contract us tools, etc.), or otherwise, with or without a request from us, (collectively, “User-Generated Content” or “UGC”), you hereby grant Sheep Dog Java, the non-exclusive, unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual, and cost-free right and license to use, copy, record, distribute, reproduce, disclose, sell, re-sell, sublicense (through multiple levels), display, publicly perform, transmit, publish, broadcast, translate, make derivative works of, and otherwise use and exploit in any manner whatsoever, all or any portion of your UGC (and derivative works thereof), for any purpose whatsoever in all formats, on or through any means or medium now known or hereafter developed, and with any technology or devices now known or hereafter developed, and to advertise, market, and promote the same. Without limitation, the granted rights include the right to: (a) configure, host, index, cache, archive, store, digitize, compress, optimize, modify, reformat, edit, adapt, publish in searchable format, and remove such UGC and combine same with other materials, and (b) use any ideas, concepts, know-how, or techniques contained in any UGC for any purposes whatsoever, including developing, producing, and marketing products and/or services.  You understand that in exercising such rights metadata, notices and content may be removed or altered, including copyright management information, and you consent thereto and represent and warrant you have all necessary authority to do so. In order to further effect the rights and license that you grant to Sheep Dog Java to your UGC, you also, as permitted by applicable law, hereby grant to Sheep Dog Java, and agree to grant to Sheep Dog Java, the unconditional, perpetual, irrevocable right to use and exploit your name, persona, and likeness in connection with any UGC, without any obligation or remuneration to you. Except as prohibited by law, you hereby waive, and you agree to waive, any moral rights, including attribution and integrity, that you may have in any UGC, even if it is altered or changed in a manner not agreeable to you.  To the extent not waivable, you irrevocably agree not to exercise such rights, if any, in a manner that interferes with any exercise of the granted rights.

We are and shall be under no obligation (1) to maintain any UGC in confidence; (2) to pay compensation for any UGC or provide you other consideration or attribution; or (3) to respond to any UGC. We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service. 

You represent, warrant and agree that your UGC will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your UGC will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or harm us or any other User of the Service. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any UGC. You remain the owner of your UGC, subject to our licensed rights, and are solely responsible it. We take no responsibility and assume no liability for any UGC posted by you or any third-party.

 

SECTION 10 – COMMUNITY USAGE RULES

As a user of the Service, these Community Usage Rules (“Rules”) are here to help you understand the conduct that is expected of members of the Service’s online communities (“Communities”).

(i)        Nature of Rules.  Your participation in the Communities is subject to all of the Terms, including these Rules:

  • Your UGC. All of your UGC either must be original with you or you must have all necessary rights in it from third parties in order to permit you to comply with these Terms and any applicable Additional Terms.  Your UGC should not contain any visible logos, phrases, or trademarks that belong to third parties.  Do not use any UGC that belongs to other people and pass it off as your own; this includes any content that you might have found elsewhere on the Internet.  If anyone contributes to your UGC or has any rights to your UGC, or if anyone appears or is referred to in the UGC, then you must also have their permission to submit such UGC to Sheep Dog Java.  (For example, if someone has taken a picture of you and your friend, and you submit that photo to Sheep Dog Java as your UGC, then you must obtain your friend’s and the photographer’s permission to do so.)

  • Speaking of Photos: No Pictures, Videos, or Images of Anyone Other Than You and Your Friends and Family.  If you choose to submit photos to the Service, link to embedded videos, or include other images of real people, then make sure they are of you or of you and someone you know – and only if you have their express permission to submit it.

  • Act Appropriately. All of your Service activities must be venue appropriate, as determined by us.  Be respectful of others’ opinions and comments so we can continue to build Communities for everyone to enjoy.  If you think your UGC might offend someone or be embarrassing to someone, then chances are it probably will and it doesn’t belong on the Service.  Cursing, harassing, stalking, insulting comments, personal attacks, gossip, and similar actions are prohibited.  Your UGC must not threaten, abuse, or harm others, and it must not include any negative comments that are connected to race, national origin, gender, sexual orientation, religion, or handicap.  Your UGC must not be defamatory, slanderous, indecent, obscene, pornographic, or sexually explicit.  Your UGC must not exploit children under the age of 18.

  • Do Not Use for Commercial or Political Purposes. Your UGC must not advertise or promote a product or service or other commercial activity, or a politician, public servant, or law.

  • Do Not Use to Solicit or Send Unwanted Communications. Do not harvest or collect email addresses or other contact information of others from the Service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications.  Do not solicit personal information from anyone or solicit passwords or personally identifying information for commercial or unlawful purposes.  This also includes not uploading, posting, transmitting, sharing or otherwise making available any unsolicited or unauthorized advertising, solicitations, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.

 

  • Do Not Use for Inappropriate Purposes. Your UGC must not promote any infringing, illegal, or other similarly inappropriate activity.

  • Be Honest and Do Not Misrepresent Yourself or Your UGC. Do not impersonate any other person, user, or company, and do not submit UGC that you believe may be false, fraudulent, deceptive, inaccurate, or misleading, or that misrepresents your identity or affiliation with a person or company. In the event you receive anything in consideration from us with respect to your UGC (e.g., coupons, sweepstakes entries, etc.) you represent you will include disclosure of the receipt of this consideration clearly and conspicuously as part of the UGC and include any other disclosures we may require.

  • Others Can See. We hope that you will use the Communities to exchange information and content and have venue appropriate discussions with other members.  However, please remember that the Communities are public or semi-public and UGC that you submit on the Service within a Community may be accessible and viewable by other users.  Do not submit personally identifying information (e.g., first and last name together, password, phone number, address, credit card number, medical information, email address, or other personally identifiable information or contact information) on Community spaces and take care when otherwise disclosing this type of information to others. 

  • Don’t Share Other People’s Personal Information. Your UGC should not reveal another person’s address, phone number, email address, social security number, credit card number, medical information, financial information, or any other information that may be used to track, contact, or impersonate that individual, unless, and in the form and by the method, specifically requested by Sheep Dog Java (e.g., an email address to send an email invite to a friend).

  • Don’t Damage the Service or Anyone’s Computers or Other Devices. Your UGC must not submit viruses, Trojan horses, spyware, or any other technologies or malicious code that could impact the operation of the Service or any computer or other Device.

 

If you submit UGC that Sheep Dog Java reasonably believes violates these Rules, then we may take any legally available action that we deem appropriate, in our sole discretion.  However, we are not obligated to take any action not required by applicable law.  We may require, at any time, proof of the permissions referred to above in a form acceptable to us.  Failure to provide such proof may lead to, among other things, the UGC in question being removed from the Service.

 

SECTION 11 – PROCEDURE FOR ALLEGING COPYRIGHT INFRINGEMENT 

If you are a copyright owner who would like to send us a notice pursuant to the Digital Millennium Copyright Act (“DMCA”) to identify content or material posted on the Service that is infringing that you would like removed from our Service, or if you are a user whose work has been removed in response to such a notice of infringement and would like to file a DMCA counter-notice, you may submit such notice to us by following the instructions below.  

A. DMCA Notice. 

Sheep Dog Java asks our users to respect the intellectual property rights of others.  It is our policy to respond appropriately to clear notices of alleged copyright infringement, as set forth more fully below.  In Sheep Dog Java’s sole discretion, Sheep Dog Java Coffee Company may remove content that may be infringing on another person’s intellectual property rights with or without notice to the potential infringer.  In accordance with the U.S. Digital Millennium Copyright Act (“DMCA”) and other applicable law, Sheep Dog Java has adopted a policy of terminating, in appropriate circumstances, users who are deemed to be repeat infringers. 

If we remove or disable access in response to a DMCA Copyright Infringement Notice, we will make a good faith attempt to contact the owner or administrator of the affected content so that they may make a counter-notification.  If you own a copyright in a work (or represent such a copyright owner) and believe that your (or such owner’s) copyright in that work has been infringed by an improper posting or distribution of it via the Service, then you may send us a written notice that includes all of the following:

(i)        a legend or subject line that says: “DMCA Copyright Infringement Notice”;

(ii)       a description of the copyrighted work that you claim has been infringed or, if multiple copyrighted works are covered by a single notification, a representative list of such works;

(iii)       a description of where the material that you claim is infringing or is the subject of infringing activity is located that is reasonably sufficient to permit us to locate the material (please include the full URL of the page(s) on the Service on which the material appears);

(iv)      your full name, address, telephone number, and email address;

(v)       a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

(vi)      a statement by you, made under penalty of perjury, that all the information in your notice is accurate, and that you are the copyright owner (or, if you are not the copyright owner, then your statement must indicate that you are authorized to act on the behalf of the owner of an exclusive right that is allegedly infringed); and

(vii)     your electronic or physical signature.

It is often difficult to determine if your copyright has been infringed.  Sheep Dog Java may elect to not respond to DMCA Notices that do not substantially comply with all of the foregoing requirements, and Sheep Dog Java may elect to remove allegedly infringing material that comes to its attention via notices that do not substantially comply with the DMCA. 

Please note that the DMCA provides that any person who knowingly materially misrepresents that material or activity is infringing may be subject to liability.

We may send the information that you provide in your notice to the person who provided the allegedly infringing work.  That person may elect to send us a DMCA Counter-Notification.

Without limiting Sheep Dog Java’s other rights, Sheep Dog Java may, in appropriate circumstances, terminate a repeat infringer’s access to the Service and any other website owned or operated by Sheep Dog Java. 

B. Counter-Notification. 

If access on the Service to a work that you submitted to Sheep Dog Java is disabled or the work is removed as a result of a DMCA Copyright Infringement Notice, and if you believe that the disabled access or removal is the result of mistake or misidentification, then you may send us a DMCA Counter-Notification to the addresses above.  Your DMCA Counter-Notification should contain the following information:

(i)        a legend or subject line that says: “DMCA Counter-Notification”;

(ii)        a description of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled (please include the full URL of the page(s) on the Service from which the material was removed or access to it disabled);

(iii)       a statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;

(iv)      your full name, address, telephone number, email address, and the username of your Account;

(v)       a statement that you consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or, if the address is located outside the U.S.A., to the jurisdiction of the United States District Court for the Central District of California), and that you will accept service of process from the person who provided DMCA notification to us or an agent of such person; and

(vi)      your electronic or physical signature.

Please note that the DMCA provides that any person who knowingly materially misrepresents that material or activity was removed or disabled by mistake or misidentification may be subject to liability.

If we receive a DMCA Counter-Notification, then we may replace the material that we removed (or stop disabling access to it) in not less than ten (10) and not more than fourteen (14) business days following receipt of the DMCA Counter-Notification.  However, we will not do this if we first receive notice at the addresses above that the party who sent us the DMCA Copyright Infringement Notice has filed a lawsuit asking a court for an order restraining the person who provided the material from engaging in infringing activity relating to the material on the Service.  You should also be aware that we may forward the Counter-Notification to the party who sent us the DMCA Copyright Infringement Notice.

 

SECTION 12 - PERSONAL INFORMATION

Your submission of personal information through the Service is governed by our Privacy Policy. By using our Services you also consent to our practices as set forth in our Privacy Policy, available at http://sheepdogjava.com/privacy-policy.

 

SECTION 13 – LIMITED LICENSE AND PROHIBITED USES

The Service and all of its content (“Content”), including all copyrights, patents, trademarks, service marks, trade names and all other intellectual property rights therein (“Intellectual Property”), are owned or controlled by Sheep Dog Java, our licensors, and certain other third parties.  All right, title, and interest in and to the Content and Intellectual Property available via the Service is the property of Sheep Dog Java, our licensors (including licensors of UGC) or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, patent and/or other Intellectual Property and unfair competition rights and laws to the fullest extent possible.  Sheep Dog Java owns the copyright in the selection, compilation, assembly, arrangement, and enhancement of the Content on the Service. 

Your rights to Use the Service and Content:      Your right to use the Service and Content is subject to your strict compliance with these Terms and applicable Additional Terms. Your right to access and use the Service and the Intellectual Property shall automatically terminate upon any violations. These rights are non-exclusive, limited, and revocable by us at any time in our sole discretion without advance notice or liability. As your right to access and use the Service and the content is personal to you, you may not assign nor transfer your right; any attempt to do so is void. You may, for your personal, non-commercial, lawful use:

 

(1) Display, view, use, and play the Content on a computer, mobile or other internet enabled or permitted device (“Device”) and/or print one copy of the Content (excluding source and object code in raw form or otherwise) as it is displayed to you;

(2) Stream the Content using any of the widgets and/or other digital streaming internet video players, if any, provided on the Service;    

(3)  Subject to any applicable Additional Terms, if the Service includes a “Send to Friend,” social media sharing or similar tool that allows you to initiate and send to one or more of your contacts a communication that includes content, or to post our content to third-party services or your own site or online service, and the tool is operational, use the tool to do so; provided, however, that you do not do so in any manner that violates applicable law or third-party rights or reflects negativity on us, and only send to recipients you have permission to contact;

(4) If the Service includes a “Download” link next to a piece of content (including, without limitation, an image, an icon, a wallpaper, a music track, a video, a trailer, an RSS feed), you may only download a single copy of such content to a single Device;

(5) Download, install and use one copy of any software, including apps, that we make available on or through the Service (“Software”) on your Device in machine-executable object code form only and make one additional copy for back-up purposes; provided, however, that you understand and agree that (i) by allowing you to download the Software, Sheep Dog Java does not transfer title to the Software to you (i.e., you own the medium on which the Software is recorded, but the Software's owner (which may be Sheep Dog Java and/or its third-party Software licensor) will retain full and complete title to such Software); (ii) you may not copy, modify, adapt, translate into any language, distribute, or create derivative works based on the Software,  except as expressly authorized in these Terms or applicable Additional Terms, without the prior written consent of Sheep Dog Java; (iii) you may not assign, rent, lease, or lend the Software to any person or entity and any attempt by you to sublicense, transfer, or assign the Software will be void and of no effect; and (iv) you may not decompile, disassemble, reverse engineer, or attempt to reconstruct, identify, or discover any source code, underlying ideas, underlying user interface techniques, or algorithms of the Software by any means whatsoever, except to the extent the foregoing restriction is prohibited by applicable law;

(6) If made available to you, obtain a registered personal account (and/or related username and password) on the Service and interact with the Service in connection therewith;

(7) Link to the Service from a website or other online service, so long as: (a) the links only incorporate text, and do not use any Sheep Dog Java names, logos, or images (b) the links and the content on your website do not suggest any affiliation with Sheep Dog Java or cause any other confusion, and (c) the links and the content on your website do not portray Sheep Dog Java or its products or services in a false, misleading, derogatory, or otherwise offensive manner, and do not contain content that is unlawful, offensive, obscene, lewd, lascivious, filthy, violent, threatening, harassing, or abusive, or that violate any right of any third-party or are otherwise objectionable to Sheep Dog Java.  Sheep Dog Java reserves the right to suspend or prohibit linking to the Service for any reason, in its sole discretion, without advance notice or any liability of any kind to you or any third-party; and

(8) Use any other functionality expressly provided by Sheep Dog Java on or through the Service for use by users, subject to these Terms (including, without limitation, functionality to create and/or post User-Generated Content and any applicable Additional Terms.

Prohibited Uses:         In addition to other prohibitions as set forth elsewhere in the Terms of Service, you are prohibited from using the Service or its Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect, track, or share the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; (k) to interfere with or circumvent the security features of the Service or any related website,  other websites, or the Internet; (l) to solicit or send unwanted communications; or (m) to damage the Service or anyone’s computers or other devices. We reserve the right to terminate your use of the Service or any related website  for violating any of the prohibited uses.

 

SECTION 14 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

As permitted by applicable law:

  1. We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you. You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products and services delivered to you through the Service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. 

  2. In no case shall Sheep Dog Java, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any Content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

 

SECTION 15 – YOUR WARRANTIES AND INDEMNIFICATION

Each time you submit any UGC, you represent and warrant that you are at least the age of majority in the jurisdiction in which you reside and are the parent or legal guardian, or have all proper consents from the parent or legal guardian, of any minor who is depicted in or contributed to any UGC you submit, and that, as to that UGC, (a) you are the sole author and owner of the Intellectual Property and other rights to the UGC, or you have a lawful right to submit the UGC and grant Sheep Dog Java the rights to it that you are granting by these Terms and any applicable Additional Terms, all without any Sheep Dog Java obligation to obtain consent of any third-party and without creating any obligation or liability of Sheep Dog Java; (b) the UGC is accurate; (c) the UGC does not and, as to Sheep Dog Java’s permitted uses and exploitation set forth in these Terms, will not infringe any Intellectual Property or other right of any third-party; and (d) the UGC will not violate these Terms or any applicable Additional Terms, or cause injury or harm to any person.

You agree to indemnify, defend and hold harmless Sheep Dog Java and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

 

SECTION 16 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

 

SECTION 17 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our Service. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

 

SECTION 18 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service and any policies or operating rules posted by us on this Service or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

 

SECTION 19 – DISPUTE RESOLUTION

Arbitration of Claims.  Unless you give us notice of opt-out within five (5) business days of your first use of the Service, addressed to Sheep Dog Java at P.O. Box 81, Stillwater, NJ 07875, all actions or proceedings arising in connection with, touching upon or relating to any  controversy, allegation, or claim arising out of or relating to the Service, the content, your UGC, these Terms, or any applicable Additional Terms, (collectively, “Dispute”), or the scope of the provisions of this Section, shall be submitted to final and binding arbitration, to be held in Warren County, New Jersey, before a single arbitrator. The arbitrator shall be selected by mutual agreement of the parties. The arbitration shall be a confidential proceeding, closed to the general public; provided, however, that a party may disclose information relating to the arbitration proceedings to its and its affiliates’ lawyers, insurance providers, auditors and other professional advisers.  The fact that there is a dispute between the parties that is the subject of arbitration shall be confidential to the same extent. The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrator’s award is based.  The arbitrator shall also have the ability to grant an award of counsel fees if deemed fair and equitable. Neither party shall be entitled or permitted to commence or maintain any action in a court of law with respect to any matter in dispute until such matter shall have been submitted to arbitration as herein provided and then only for the enforcement of the arbitrator’s award; provided, however, that prior to the appointment of the arbitrator or for remedies beyond the jurisdiction of an arbitrator, at any time, either party may seek pendente lite relief (subject to the provisions of these Terms waiving or limiting that relief) in a court of competent jurisdiction in Warren County, New Jersey or, if sought by Sheep Dog Java, such other court that may have jurisdiction over you, without thereby waiving its right to arbitration of the dispute or controversy under this Section; provided further, however, that the losing party shall have fifteen (15) business days after the issuance of the arbitrator’s decision to fully comply with such decision, after which the prevailing party may enforce such decision by a petition to the appropriate court in New Jersey, or, in the case of you, such other court having jurisdiction over you.

 

Limitation on Injunctive Relief. AS PERMITTED BY APPLICABLE LAW, IF YOU CLAIM THAT YOU HAVE INCURRED ANY LOSS, DAMAGES, OR INJURIES IN CONNECTION WITH YOUR USE OF THE SERVICE, THEN THE LOSSES, DAMAGES, AND INJURIES WILL NOT BE DEEMED IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR TO OTHER EQUITABLE RELIEF OF ANY KIND.  THIS MEANS (WITHOUT LIMITATION) THAT, IN CONNECTION WITH YOUR CLAIM, YOU AGREE THAT YOU WILL NOT SEEK, AND THAT YOU WILL NOT BE PERMITTED TO OBTAIN, ANY COURT OR OTHER ACTION THAT MAY INTERFERE WITH OR PREVENT THE DEVELOPMENT OR EXPLOITATION OF ANY WEBSITE, APPLICATION, CONTENT, UGC, PRODUCT, SERVICE, OR INTELLECTUAL PROPERTY OWNED, LICENSED, USED, OR CONTROLLED BY ANY SHEEP DOG JAVA PARTY OR A LICENSOR OF ANY SHEEP DOG JAVA PARTY.

Class Action Waiver.  As permitted by applicable law, both you and Sheep Dog Java waive the right to bring any Dispute as a class, consolidated, representative, collective, or private attorney general action, or to participate in a class, consolidated, representative, collective, or private attorney general action regarding any Dispute brought by anyone else. Notwithstanding any provisions and/or applicable laws governing arbitration in the appropriate jurisdiction, the arbitrator shall not have the authority or any jurisdiction to hear the arbitration as a class, consolidated, representative, or private attorney general action or to consolidate, join, or otherwise combine the Disputes of different persons into one proceeding. Notwithstanding the arbitration provision set forth above, if the provision regarding waiver of class, collective, representative, and private attorney general claims of this Section 19 is found to be void or otherwise unenforceable, any such class, collective, representative, or private attorney general claims must be heard and determined through an appropriate court proceeding, and not in arbitration.

  1. Jury Waiver. AS PERMITTED BY APPLICABLE LAW, THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING UNDER, IN CONNECTION WITH, TOUCHING UPON OR RELATING TO THESE TERMS, THE BREACH THEREOF AND/OR THE SCOPE OF THE PROVISIONS OF THIS SECTION, WHETHER SOUNDING IN CONTRACT OR TORT, AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF. 

 

SECTION 20 - GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of New Jersey. If you access the Service from outside of the U.S. you accept the application of U.S. law which may provide less protection or require different obligations than the law where you reside.
